The selected license is "Lease". The purchase date is Date of the paid purchase and the order number is Assigned when the order is placed. The receipt identifies the price paid for this license. The full order total is Shown in the order summary, which may include other products, taxes, or charges. 2. LICENSE SCHEDULE Grant: non-exclusive permission to use the Beat in one New Song. Territory: worldwide, but only for rights Licensor controls. Term: no fixed expiration, subject to the usage limits, breach provisions, and any mandatory statutory termination rights. Audio streams: 25,000 cumulative audio streams across all services. Paid copies/downloads: 2,500 paid copies or paid downloads of the New Song. Videos: one official music video for the New Song, plus lyric/visualizer versions and short promotional clips for that same song; no separate numeric video-view cap. Performances/radio: live performances and radio broadcasts of the New Song are permitted without a numeric event or station cap. Third-party synchronization: film, television, advertising, video games, and third-party brand campaigns require separate written permission. Files: only the downloadable files identified and delivered with the purchased product. Stems, WAV files, alternate mixes, or other formats are included only if that product expressly offers them. Songwriting/composition split in the New Song: 50% producer side and 50% Licensee side, as detailed in section 5. 3. NON-EXCLUSIVE USE AND OWNERSHIP Licensor keeps ownership of the original Beat recording and its pre-existing composition and may continue licensing the Beat to others. Other artists may lawfully use the same Beat. Licensee receives only the permissions stated here, not ownership of the Beat. This agreement is not a work made for hire. A later exclusive sale does not automatically revoke this paid license. Licensee may continue using the New Song within this agreement's original limits. 4. THE NEW SONG AND PERMITTED USES Licensee may combine the Beat with original vocals, lyrics, or other musical contributions to create one finished song (New Song). Clean, explicit, radio-edit, and instrumental versions of that same song do not count as additional songs. A materially different song, another artist's separate recording, or a separately licensed remix requires additional permission. Licensee may edit the Beat's arrangement, tempo, key, and mix to produce the New Song and distribute and monetize it within the License Schedule. Licensee may provide the Beat to engineers and collaborators solely to make that recording. They receive no independent release or resale rights, and Licensee remains responsible for their use. Licensee may not sell, share, or license the Beat or isolated stems as a standalone instrumental; add them to a sample/beat library; or sublicense them for another person's separate song. Transfers to a label or distributor solely to exploit this New Song may occur if that party follows these restrictions and receives no independent rights in the Beat. 5. SONGWRITING, PUBLISHING, AND THE NEW RECORDING For the musical composition embodied in the New Song, the producer side is allocated 50% and Licensee's side is allocated 50%. Producer representative is the producer-side writer for the Beat, unless Licensor supplies a signed correction identifying a co-writer or other authorized writer. Licensee's writers must share their aggregate 50% among themselves; no extra writer may reduce the producer's 50% without written agreement. The parties must provide accurate writer, publisher, and collection metadata to their performing-rights organizations, publishers, distributors, or collection societies. Each side retains and administers its own composition interest and receives royalties attributable to that interest. The company does not receive an additional 50% on top of the producer side. This split concerns songwriting/composition and its related publishing income. It does not mean that Licensor owns 50% of Licensee's new sound-recording master. Licensee controls its original vocals and contributions to the New Song recording, subject to the embedded Beat rights. This agreement imposes no additional percentage of new-master revenue unless the parties enter a separate written producer-royalty agreement. Any required mechanical, public-performance, or other composition royalties must be handled by Licensee and the relevant distributor or collection service under applicable law and the agreed composition interests. The upfront license fee does not purchase the producer's songwriting share. 6. CREDIT Where production credits appear, identify the producer as "Produced by Veracity The Truth". If that field is empty or identifies the wrong producer, obtain the correct credit from vttbeats@veracitytt.com. Use the producer-side legal writer name supplied by Licensor for royalty registrations. 7. CONTENT ID AND FINGERPRINTING Licensee must not enroll the original Beat, isolated stems, or a recording containing non-exclusive Beat material as an exclusively owned reference in automated Content ID or similar fingerprinting systems. Do not select distributor options that would create unauthorized automated claims against Licensor, earlier licensees, or other permitted users. For an Exclusive purchase, any reference registration requires Licensor's separate written approval and verification of the platform's eligibility requirements, earlier licenses, and all third-party material. This permission is not promised by the word "Exclusive". Ordinary distribution to streaming services and ordinary monetization remain permitted within the schedule. 8. SAMPLES AND THIRD-PARTY RIGHTS Each party is responsible for rights in material that party adds or supplies. Licensor must disclose known incorporated material that requires additional clearance; Licensee must obtain the specified clearance before the affected use. Licensee is responsible for its vocals, lyrics, added samples, artwork, and videos. Neither party grants rights it does not control. Buying an Exclusive license does not itself clear third-party samples or loops. 9. LIMITS AND UPGRADES Licensee must monitor the New Song's cumulative usage and obtain a written upgrade from vttbeats@veracitytt.com before exceeding a cap or beginning an excluded use. An upgrade request alone does not grant additional rights. No numeric cap does not authorize additional songs, standalone Beat sales, or excluded synchronization uses. 10. BREACH, REFUNDS, AND DISPUTES For a material breach, the complaining party must send a reasonably detailed written notice to the other party's email above. The receiving party has 30 days to cure a curable breach. If it remains uncured, the affected license permissions may be terminated by written notice, subject to applicable law. Rights in original works and accrued royalty obligations are not erased by termination. Refunds are governed by the disclosed store policy and applicable law. Nothing here waives non-waivable consumer or statutory rights. The parties will first attempt good-faith resolution by email. This agreement does not select a particular state, country, court venue, or mandatory arbitration procedure; applicable law and ordinary jurisdiction rules apply unless the parties separately agree otherwise. 11. PAYMENT, ACCEPTANCE, AND RECORDS The license becomes effective when the purchase is paid and the required acceptance is recorded. The agreement is issued on behalf of Licensor by the named representative. A printed name alone should not be represented as a separate handwritten or digital signature; retain any further signed authorization required for the grant. The selected terms are tied to order Assigned when the order is placed. Licensee should keep the personalized agreement with the receipt. Changes to future store templates do not change this purchased agreement. Amendments require a written agreement by both parties. For questions or upgrades, contact vttbeats@veracitytt.com and identify order Assigned when the order is placed and "The beat selected at checkout".

EXCLUSIVE USE AND EARLIER LICENSES After this exclusive purchase is paid and accepted, Licensor will stop issuing new licenses for the Beat and remove it from new-sale listings. Licensor retains ownership of the original Beat recording and its pre-existing composition. This agreement grants the stated exclusive use; it is not an assignment of those copyrights or a work made for hire. Every valid license granted before this purchase continues under its own terms. Licensee acknowledges that earlier licensees may lawfully continue exploiting their recordings. This agreement does not make the Beat historically unused or cancel earlier releases. Licensor may retain archival copies and use brief extracts for a producer portfolio, without licensing the Beat to another artist. The parties must retain the electronic agreement and any signed confirmation required to document the exclusive grant. Licensor must only grant exclusivity in rights that Licensor owns or is authorized to license. 4.
